These Terms of Service (“Terms”) govern your access to and use of Cookiera.ai (the “Service”), a product owned and operated by TatvaOne Labs FZCO, UAE (“we”, “our”, or “us”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. Definitions

• Customer: The legal entity or business subscribing to the Service.
• User: Any individual authorized by the Customer (e.g., admins, marketing staff).
• Identity Data: Visitor identifiers, session logs, and behavioral signals processed by Cookiera scripts.
• Activation: Transmission of hashed or pseudonymized data to third-party ad platforms such as Google, Meta, or TikTok.

2. License and Use of Service

• Grant of License: Limited, non-exclusive, non-transferable license to integrate Cookiera scripts for internal business and marketing use.
• Prohibited Conduct: You may not reverse-engineer identity algorithms, conduct illegal surveillance, or bypass privacy controls without consent.

3. Customer Responsibilities and Compliance

• On-Site Consent: You are solely responsible for obtaining explicit visitor consent (via cookie banner or CMP) before deploying Cookiera scripts and updating your privacy policy accordingly.
• Account Security: You are responsible for all activity under your account and must safeguard API keys and credentials.

4. Third-Party Integrations (Advertising Activation)

• Platform Authorization: By connecting Google Ads, Meta Ads, or TikTok accounts, you authorize data transmission via their APIs.
• Platform Compliance: You must comply with third-party platform policies. We are not responsible for account suspensions or data rejections.
• Consent Mode: For regulated regions (EEA/UK/UAE), you must pass accurate consent signals for compliance with Google Consent Mode v2 and related standards.

5. Data Ownership and Usage

• Customer Data: You retain ownership of raw customer data and campaign insights.
• Cookiera Intellectual Property: We retain ownership of the platform, scripts, identity algorithms, and global_id logic.
• Usage Data: Aggregated and anonymized data may be used to improve platform performance.
• Cross-Product Integration: Enabling integrations with other TatvaOne Labs products (e.g., Adviora) authorizes data exchange for advanced analytics and identity-linked tracking.

6. Fees and Billing

• Payment: Fees are billed according to your selected plan. Third-party ad spend remains your responsibility.
• Late Payment: We may suspend Service if payment is not received within thirty (30) days of invoice date.

7. Limitation of Liability and Indemnification

• "As Is" Service: Provided without warranties regarding identity matching accuracy or marketing ROI.
• Limitation: Liability limited to fees paid in the twelve (12) months preceding the claim.
• Indemnity: You agree to indemnify TatvaOne Labs FZCO for claims arising from failure to obtain proper consent.

8. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved in the courts of the jurisdiction where TatvaOne Labs FZCO is registered.
